Terms of Service
RMB Networking UG (haftungsbeschränkt): Internal Finance Management Application
Last updated: 30 August 2026
1. Provider and Scope
These Terms of Service ("Terms") govern the use of the internal finance management application (the "Application") operated by:
RMB Networking UG (haftungsbeschränkt)
Lahnstraße 22
60326 Frankfurt am Main
Germany
Commercial register: Amtsgericht Frankfurt am Main, HRB 127210
Managing Director: Moritz Bier
Email: contact@rmb-networking.com
The Application is a proprietary internal tool of RMB Networking UG ("RMB", "we", "us"). It is used exclusively to manage and monitor the business bank accounts of RMB and is made available only to authorized personnel of RMB ("Users"). The Application is not a consumer product and is not offered to the general public. No payment services are provided by RMB through the Application.
2. Eligibility and Access
Access to the Application is granted at RMB's sole discretion to employees, officers, and engaged service providers of RMB who require it for the performance of their duties. Access credentials are personal and must not be shared. RMB may modify, suspend, or revoke any User's access at any time. Users must keep their credentials confidential and notify RMB immediately at contact@rmb-networking.com if they suspect unauthorized use of their account.
3. Bank Account Connections and Open Banking
The Application retrieves account information (balances and transactions) for RMB's own business bank accounts through the account information services of Enable Banking Oy, Otakaari 5, 02150 Espoo, Finland, a registered account information service provider (AISP) under the EU Second Payment Services Directive (PSD2), supervised by the Finnish Financial Supervisory Authority.
Only persons duly authorized by RMB to act with respect to the relevant bank accounts may establish or renew a bank connection. When connecting an account, the User authenticates directly with the bank; RMB does not receive or store online banking credentials. The connection is subject to the consent framework of PSD2 and may be revoked at any time through the Application or the bank. Use of Enable Banking's services is additionally subject to Enable Banking's own terms, available at https://enablebanking.com/terms/.
The Application provides read-only account information. It does not initiate payments.
4. Permitted Use
Users may use the Application solely for RMB's internal business purposes, in particular accounting, reconciliation, liquidity management, and financial reporting. Users must not use the Application to access accounts they are not authorized to access, retrieve or export data for purposes unrelated to their duties for RMB, disclose financial data obtained through the Application to unauthorized third parties, attempt to circumvent access controls or probe, scan, or test the vulnerability of the Application, or introduce malicious code or otherwise interfere with the operation of the Application.
All financial and business information accessible through the Application constitutes confidential information of RMB and must be treated as such, also after termination of the User's engagement with RMB.
5. Data Protection
Information on how personal data is processed in connection with the Application is provided in our Privacy Policy. By using the Application, Users acknowledge the Privacy Policy.
6. Intellectual Property
The Application, including its software, design, and content (excluding bank data owned by the respective account holders), is the property of RMB or its licensors. Users receive a non-exclusive, non-transferable, revocable right to use the Application for the purposes described in these Terms. No further rights are granted.
7. Availability; No Warranty for Bank Data
The Application is provided as an internal tool on an "as available" basis. RMB endeavours to keep the Application operational but does not guarantee uninterrupted availability. Account information displayed in the Application is retrieved from third-party banks via Enable Banking and may be delayed, incomplete, or unavailable due to circumstances outside RMB's control. The authoritative record of any account is the statement issued by the respective bank. The Application does not provide financial, tax, or legal advice.
8. Liability
RMB is liable without limitation for damages caused by intent or gross negligence, for injury to life, body, or health, and under mandatory statutory liability provisions (e.g. the German Product Liability Act). In cases of slight negligence, RMB is liable only for breaches of essential contractual obligations (obligations whose fulfilment is a prerequisite for the proper performance of the contract and on whose fulfilment the User may regularly rely), and in such cases liability is limited to the foreseeable damage typical for this type of use. Any further liability is excluded.
9. Changes to the Application and these Terms
RMB may modify, extend, or discontinue the Application or individual functions at any time. RMB may amend these Terms with effect for the future; the current version is made available to Users within or alongside the Application, with the date of the last revision indicated above. Continued use of the Application after an amendment takes effect constitutes acceptance of the amended Terms.
10. Term and Termination
The right to use the Application is tied to the User's role at RMB and ends automatically when that role ends or when access is revoked. Sections concerning confidentiality, intellectual property, and liability survive termination.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). To the extent legally permissible, the exclusive place of jurisdiction is Frankfurt am Main, Germany.
12. Severability
Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision shall be replaced by the statutory provision that comes closest to its economic purpose.
